Priority Technology Stock Surges Monday: What's Driving the Action?
Priority Technology Holdings Inc. (NASDAQ:PRTH) shares are trading higher Monday morning after the payments and banking solutions provider announced a definitive agreement to be taken private in a $1.6 billion CEO-led buyout.
Valuation Premium and Institutional Backing
Under the buyout agreement, an investor group led by Chairman and Chief Executive Officer Thomas Priore will buy all publicly traded stock for $8.05 per share in cash. This $8.05 price tag offers investors a 38% gain over Friday’s closing price.
Backed by an independent committee review and up to $160 million in guaranteed funding from Searchlight Capital Partners, this all-cash deal protects shareholders from unpredictable stock market swings and guarantees a set cash payout without the risk of the buyers failing to secure necessary bank loans.
Priority Technology says, once the transaction closes in the first half of 2027, the company will leave the public stock exchange, allowing leadership to focus entirely on long-term business goals instead of managing Wall Street’s short-term quarterly earnings expectations.
PRTH Stock Soars Monday Morning
PRTH Price Action: Priority Tech Holdings shares were up 33.45% at $7.77 at the time of publication on Monday. The stock is trading near its 52-week high of $7.91, according to Benzinga Pro data.
